邀请函 LETTER OF INVITATION

尊敬的先生/女士：
Dear Sir or Madam,

南航通用航空股份有限公司（以下简称“南航通航”）有意购买1架海油构型的西科斯基S-92A直升机。直升机在销售方基地完成全部检查并具备交付条件的时间应不晚于2025年二季度。
China Southern Airlines General Aviation Company Limited (hereinafter referred to as “CSAGA”) intends to purchase ONE (1) Offshore Oil & Gas configured Sikorsky S-92A helicopter and expects it to be ready for delivery at seller’s designated maintenance facility no later than Q2, 2025.

欢迎所有有意出售S-92A直升机的潜在销售方向我公司提交报价材料。如您有意报价，请按照下文所列要求准备报价材料。
Any potential sellers interested in selling the specified helicopter are welcomed to submit Quotation. If you are willing to submit a Quotation, please prepare and submit it as per detailed requirements described hereafter.

报价材料应按照本《邀请函》及其以下附件的要求进行提交：
The Quotation must be submitted in accordance with the instructions of this Letter of Invitation and its Schedules as listed below:

l 附件一：《技术要求书》
Schedule 1- Technical Requirements

l 附件二：《航空器预检单》
Schedule 2- Used Aircraft Pre-inspection Checklist

l 附件三：《报价文件》
Schedule 3- Pricing Document

l 附件四：《承诺书》
Schedule 4- Letter of Commitment

报价材料应就以下内容进行描述或包含以下内容：
The Quotation should particularly illustrate and contain the following:

l 经加密的报价文件（南航通航将随本《邀请函》提供价格文件的模板）。销售方应填写报价文件中的全部内容。报价文件格式应为经公司盖章或经公司授权人员签字确认的电子扫描文件。最终提交的报价文件应为经加密的PDF或包含JPG、BMP、PNG等图片文件的经加密的ZIP或RAR压缩包格式；
An encrypted Pricing Document made with the template attached hereto. The pricing document should be filled out in full, printed out, and stamped or signed by a duly authorized representative of the seller, then scanned to encrypted PDF format or images such as JPG, BMP, PNG, etc. zipped into encrypted package format such as ZIP, RAR.

l 销售方的营业执照、注册证书、商业存续证明或其他证明销售方法律地位的官方文件；
Business license, certificate of incorporation, commercial certificate of existence or any other applicable official document indicating seller’s legal status.

l 证明销售方为直升机所有权人，或证明销售方为直升机所有权人的授权代表、经授权可代表直升机所有权人处置直升机的证明文件。同一个销售代理可代表不同的直升机所有权人提交报价，在此情形下，销售代理需获得相应直升机所有权人的授权，不同直升机的报价材料需分别提交。
Official document either proving seller’s ownership to the proposed helicopter, or proving seller is the authorized representative having legal rights to dispose the proposed helicopter on behalf of the owner. A sales agent may propose more than one helicopters on behalf of different owners, in which case the agent shall obtain the authorizations from the owners respectively and the Quotation shall be submitted separately.

l 销售方的公司架构，其中应包括所有处于销售方控制下的分支机构；
Seller’s corporate structure illustrating all the affiliates such as branches and subsidiaries under seller’s control.

l 直升机配置清单以及维护记录、直升机状态情况；
Specification and up-to-date maintenance status report of the proposed helicopter.

l 直升机STC重要改装情况；
A list of modifications or designs with which supplement of type certificates (STC) were granted by FAA/EASA or counterparts of other countries if applicable.

l 直升机预检单（模板随本《邀请函》提供。所有与直升机配置及状态情况相关的空格应全部填写）；
Pre-inspection Checklist. (A template is provided with this letter. All blanks associated with the equipment and status of the proposed helicopter should be filled in to the best of seller’s knowledge.)

l 保证提交的材料均真实材料的承诺函（模板随本《邀请函》提供）；
Commitment to the authenticity of any submitted documents, materials or information associated with the proposed helicopter. (A Letter of Commitment template is provided.)

在提交上述报价材料后，所有销售方将被分别邀请参加线上澄清及后续谈判会。
Following the submission of your Quotation, all sellers who have submitted Quotation will be separately invited to attend online meetings for clarification of submitted documents and subsequent negotiations.

报价材料应按照本《邀请函》以及所有附带的要求和模板进行准备，准备完成后发送至如下联系人邮箱：
The Quotation should be sent in compliance with this Letter of Invitation and all attached requirements and templates to the attention of CSAGA at following email addresses:

注意：邮件的附件应不超过20M。如附件较大，请分别发送。邮件发送完毕后，请致电南航通航项目专员确认邮件接收状态，联系电话为：***。超过截止时间提交的报价、以及在报价截止时间前报价人已发送报价邮件但南航通航未收到报价材料且报价人未与南航通航项目专员确认的，南航通航将拒绝接收报价文件。
Attention: Attachments to the email should be limited to 20 megabytes. Oversized attachments shall be split and sent separately. You are advised to contact CSAGA specialist by dialing *** following email submission of Quotation documents to ensure successful receipt of all emails by CSAGA. Overdue submission or remedies to unsuccessful submission without prior confirmation from CSAGA specialist will be rejected.

所有材料提交的截止时间为：2025年4月7日14时00分（北京时间）。
You are requested to complete your Quotation and have all required documents emailed to the designated email addresses no later than 14:00 pm, April 7^th, 2025 (Beijing Time).

销售方应于2025年4月7日14时00分至4月8日13时59分之间以邮件形式向南航通航联系人邮箱发送解密报价文件的密码。
The password to decrypt Pricing Document shall be emailed to the designated email addresses between 14:00 pm, April 7^th and 13:59 pm, April 8^th, 2025 (Beijing Time).

对于本采购项目，南航通航始终保留以下权利：
CSAGA retains the following rights at all times regarding this procurement:

l 没有接受最低报价的义务。在评估报价材料的过程中，南航通航可根据需要自行调整各项评价标准的权重；
shall have no obligation to accept the lowest price. In evaluating the Quotation, CSAGA may weigh any preference or criteria to a greater or less degree at CSAGA’s sole discretion.

l 要求任何参与报价的销售方提供额外材料以澄清报价；
may request further information from any seller for the purpose of clarifying its Quotation.

l 有权与拟成交销售方协商调整报价材料中的价格、技术和商务条件以匹配南航通航需求。南航通航有权拒绝任何或所有报价材料；
is not precluded from negotiating with the successful seller to amend its Quotation to optimize the price, technical and commercial needs of CSAGA. CSAGA also reserves the rights to reject any and all Quotations.

l 有权与销售方商议并调整直升机购机协议的具体条款。
shall have the right to negotiate any terms for the final form of helicopter sales and purchase agreement with the seller.
